Startup fundraising can feel overwhelming—especially when it comes to understanding the different ways investors structure early-stage deals. In this workshop with attorneys from Fenwick & West LLP, founders will learn the key differences between priced equity rounds and SAFEs (Simple Agreements for Future Equity), two of the most common fundraising structures used by startups. We’ll break down how each works, when founders typically use them, and the legal and economic implications for ownership, dilution, valuation, and investor rights. By the end of the session, you will be able to evaluate which structure may make sense at different stages of a startup and walk away with a clearer framework for approaching early-stage fundraising conversations with confidence. 🚀

More about the speakers:

As Corporate Partner at Fenwick, ​Jonathan Sagot (Law '08) acts as general outside counsel for his clients, with a focus on complex corporate matters, including financings, investments, mergers and acquisitions and joint ventures. He advises tech-enabled emerging growth companies throughout their lifecycle, from their formation to series financings to exit. In his varied background, Jonathan has represented companies in the AI/ML, software, digital health, life sciences, proptech, fintech, insurtech, blockchain, gaming, semi-conductor, defense tech, advertising, media, e-commerce, consumer, food and beverage, and fashion and beauty industries. Jonathan also represents and advises angel investors, venture capital firms, corporate venture funds and strategic acquirers investing in emerging growth companies. As a key member of the firm’s venture studio practice, he also regularly advises financial and strategic investors in structuring and deploying their venture studio programs, and represents many of the startups that come out of those programs.

As a Corporate Associate at Fenwick, Kristen Nicol (Law '17) focuses on a broad range of corporate matters for clients in the technology and life sciences industries, including startup formation and corporate governance, venture capital and debt financings, and complex mergers, acquisitions and restructurings. Prior to joining Fenwick, Kristen was an associate at a nationally recognized law firm, where she counseled entrepreneurial clients at all stages of the business life cycle, from incorporation and expansion through exit. During law school, Kristen served on the leadership board for the Social Enterprise and Startup Law group. During law school, Kristen served on the leadership board for the Social Enterprise and Startup Law group. She also served as a corporate counsel extern with an online, wholesale grocery retailer based in New York and New Jersey.
